CampPhotoshop.com & Ridpath Creative Partners LLC shall retain all copyrights in and to the CONTENT. 3. Reservation of Rights. All rights not specifically transferred by this Agreement are reserved to the CampPhotoshop.com & Ridpath Creative Partners LLC. Licensee may not sell, redistribute, incorporate in a product or give away the CONTENT. CONTENT may not be resold on auction websites,blogs forums etc. CONTENTS shall not be transferred to any third parties through locally networked computers or file sharing servers. 4. Indemnification. The Licensee shall hold CampPhotoshop.com & Ridpath Creative Partners harmless from and against any loss, expense, or damage occasioned by any claim, demand, suit, or recovery against CampPhotoshop.com & Ridpath Creative Partners arising out of the use of the Image for the Licensed Products. CampPhotoshop.com & Ridpath Creative Partners provides no rights or warranties with regard to the use of names, trademarks, registered or copyrighted designs, elements or works of art depicted or contained in any CONTENT. Licensee is responsible to obtain necessary rights or consents, as may be required for their use of CONTENT. 5. Governing Law; Waiver of Jury Trial; Venue. This Royalty-Free End User License Agreement shall be exclusively governed by the law of the State of Missouri as to all matters, including, but not limited to, matters of validity, construction, effect and performance, except that no doctrine of choice of law shall be used to apply any law other than that of Missouri. IN THE EVENT OF ANY LITIGATION WITH RESPECT TO ANY MATTER CONNECTED WITH THIS AGREEMENT OR THE TRANSACTIONS CONTEMPLATED HEREUNDER ALL OF THE PARTIES HERETO WAIVE ALL RIGHTS TO A TRIAL BY JURY. Any action or proceeding brought to enforce or construe this Agreement shall be exclusively held in the Federal District Court located in Kansas City, Missouri. |
